1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of Proofboard, including the dashboard at proofboard.io, public profiles at proofboard.io/[username], the Proofboard CLI, and the recruiter platform at verify.proofboard.io (collectively, the “Service”), operated by Proofboard Technologies. By creating an account, installing the CLI, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Proofboard turns verified git commit history into portable, independently verifiable proof of professional work. The Service includes an engineer-facing dashboard, a public profile page, an optional command-line tool (“CLI”) that performs local classification of private repository activity, and a recruiter-facing platform for discovering verified engineers. Verification is offered at multiple tiers (Volume Proof, Public Proof, and SHA Proof), described in the Service and updated from time to time.

3. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and that you have the authority to connect the GitHub or GitLab accounts and repositories you link to Proofboard.

4. Accounts & Authentication

Accounts are created via OAuth through GitHub or GitLab. Proofboard requests only the minimum scopes necessary (read:user user:email) to authenticate you and read public contribution activity — Proofboard never requests the repo OAuth scope for connecting your account. You are responsible for maintaining the security of the GitHub/GitLab account used to authenticate, and for all activity that occurs under your Proofboard account.

5. The CLI & Local Processing

The Proofboard CLI is an open-source, statically compiled binary that runs entirely on your own machine. It classifies your commit history locally and, before any network call is made, permanently destroys commit message text and file paths in a step called the Shredder — only numerical signal (commit counts, timestamps, file stats, SHA hashes) and category labels survive. The CLI never transmits commit message text, file names or paths, code diffs, or file contents, and never reads files outside a repository’s .git directory. Organization and repository names are never stored in raw form — only a one-way SHA-256 hash. You can review, audit, or modify the CLI’s source directly, as it is MIT-licensed and public.

6. Your Content

You retain ownership of the profile information, narrative summaries, and any other content you submit to Proofboard (“Your Content”). By submitting Your Content, you grant Proofboard a worldwide, non-exclusive, royalty-free license to host, display, and distribute it as part of operating the Service — including displaying it on your public profile if you choose to make that profile public. You are solely responsible for the accuracy of any narrative or self-declared content you write.

7. Verification Tiers Are Not a Guarantee

Verification tiers, trust scores, and the Reputation Index reflect Proofboard’s assessment of available signals at a point in time — they are not a guarantee of an individual’s skill, character, employment suitability, or future performance. Proofboard is not responsible for hiring, contracting, or other decisions made by third parties (including recruiters and companies on the recruiter platform) in reliance on information displayed by the Service.

8. Public Profile & Visibility

You control whether your Proofboard profile is public or private via your account settings. A public profile is accessible at proofboard.io/[username] to anyone with the link, and may be indexed by search engines. You are responsible for reviewing what a public profile discloses before enabling it, particularly with respect to any employer or client information you choose to include in narrative fields.

9. Recruiter Platform (verify.proofboard.io)

Engineers control a separate “Discoverability” setting, which defaults to off. When Discoverability is off, your profile is not surfaced to recruiters on the platform regardless of your public profile’s visibility. When Discoverability is on, recruiters may be shown a match notification, but the identity of the company is never disclosed to you until you choose to respond to screening questions. Companies access the platform under a separate job-slot subscription, governed by the order form or plan they accept at time of purchase.

10. Acceptable Use

You agree not to:

  • Falsify, tamper with, or misrepresent commit history, verification tiers, or any data displayed by the Service;
  • Scrape, harvest, or bulk-download other users’ public profiles or data;
  • Impersonate another person or entity, or misrepresent your affiliation with a company or project;
  • Attempt to circumvent, disable, or reverse-engineer any verification or security mechanism of the Service (other than the open-source CLI, which you may audit freely);
  • Use the Service to violate any applicable law, or the intellectual property or confidentiality obligations you owe to a third party.

11. Intellectual Property

The Proofboard name, logo, and Service (excluding the open-source CLI and Your Content) are the property of Proofboard Technologies. Nothing in these Terms grants you rights in Proofboard’s trademarks or proprietary software except as expressly stated.

12. Fees & Payment

Engineer-facing features described as free in the Service are free. Recruiter platform access is billed under the job-slot pricing and plan terms presented at time of purchase, which may change with notice. Fees are non-refundable except where required by law or expressly stated at time of purchase.

13. Termination

You may delete your account at any time from your settings. We may suspend or terminate your access to the Service if you violate these Terms, with notice where reasonably practicable. Upon termination, your right to use the Service ends immediately; certain provisions of these Terms survive termination, including Sections 7, 11, 14, and 16.

14. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROOFBOARD TECHNOLOGIES. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING DECISIONS MADE BY THIRD PARTIES BASED ON INFORMATION DISPLAYED BY THE SERVICE.

15. Indemnification

You agree to indemnify and hold harmless Proofboard Technologies. from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Service.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the federal republic of Nigeria, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts in Nigeria, and you consent to personal jurisdiction there.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
